1. Acceptance of Terms

By accessing our website at www.ecomitsolution.com or by engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Services Description

EcomITSolution provides software development services including but not limited to:

Ecommerce website development (Shopify, WooCommerce, custom)
Mobile application development (Android, iOS, Cross-Platform)
Web application development
UI/UX design services
SEO and digital marketing

All services are subject to a separate Project Agreement or Statement of Work (SOW) which will detail specific deliverables, timelines, and costs.

3. User Obligations

You agree to:

Provide accurate and complete information when engaging our services
Not use our services for any illegal or unauthorized purposes
Not reproduce, duplicate, sell, or exploit any portion of our service
Maintain the confidentiality of any login credentials provided
Notify us immediately of any unauthorized use of your account
Comply with all applicable laws and regulations

4. Payment Terms

A 50% advance payment is required before project commencement
Remaining balance is due upon project completion before final delivery
All prices are in Indian Rupees (INR) unless otherwise specified
Payments are non-refundable once development work has commenced
Late payments may attract an interest charge of 2% per month
We reserve the right to pause work in case of overdue payments

5. Intellectual Property

Upon receipt of full payment:

All custom code and deliverables created for your project become your property
EcomITSolution retains rights to any pre-existing tools, frameworks, or libraries used
We reserve the right to showcase the completed project in our portfolio (unless agreed otherwise)

Our website content, branding, and materials remain the exclusive property of EcomITSolution and may not be reproduced without written permission.

6. Limitation of Liability

EcomITSolution shall not be liable for:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Delays caused by factors beyond our reasonable control
Third-party service failures (hosting, payment gateways, APIs)

Our total liability in any case shall not exceed the total fees paid by you for the specific service in question during the three months preceding the claim.

7. Termination

Either party may terminate a project engagement with 30 days written notice. Upon termination:

You will be invoiced for all work completed up to the termination date
We will deliver all completed deliverables upon receipt of outstanding payment
Advance payments for unstarted work may be refunded at our discretion

We reserve the right to terminate services immediately for violation of these terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Gautam Buddh Nagar (Noida), Uttar Pradesh, India.

Parties agree to attempt to resolve disputes through good-faith negotiation before resorting to legal proceedings.
